End-User License Agreement

This End-User License Agreement ("Agreement") is between you and True North Co. Bookkeeping ("True North," "we," "us"), located in Hugo, Minnesota, and governs your use of the True North Portal at app.truenorthcobookkeeping.com (the "Portal"). By signing in to or using the Portal, you agree to this Agreement. If you do not agree, do not use the Portal.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Portal for your internal business purposes in connection with bookkeeping services provided by True North. Firm personnel may use the Portal for internal business operations. Clients may use the Portal to view and manage their own engagement — for example, uploading documents, exchanging messages and receiving reports.

2. Accounts and responsibility

  • Portal access is by invitation. You are responsible for keeping your login credentials confidential and for all activity under your account.
  • Do not share your login with others. Notify us promptly of any unauthorized use of your account.
  • You are responsible for the accuracy of information and documents you submit.

3. QuickBooks Online connections

  • Where a QuickBooks Online connection is authorized, the Portal accesses QuickBooks data on a read-only basis as described in our Privacy Policy.
  • You represent that you have the authority to authorize a connection for any QuickBooks company you connect.
  • Your use of QuickBooks Online itself is governed by your agreement with Intuit, not by this Agreement.

4. Prohibited use

You may not:

  • Access or attempt to access another client's data or any account not assigned to you;
  • Probe, scan, disrupt or interfere with the Portal's security or operation;
  • Copy, scrape, decompile, reverse engineer or create derivative works of the Portal;
  • Resell, sublicense or make the Portal available to third parties;
  • Upload unlawful content or malicious code, or use the Portal for any unlawful purpose.

5. Intellectual property

The Portal, including its software, design and content (other than your data), is owned by True North or its licensors and is protected by law. Your business records and documents remain yours. QuickBooks and related marks are the property of Intuit Inc.

6. Availability

We aim to keep the Portal available and useful, but it is provided without any guarantee of uninterrupted or error-free operation. We may modify, suspend or discontinue features, or perform maintenance, at any time.

7. Disclaimers

The Portal is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. The Portal is a tool that supports our bookkeeping services; information displayed in it does not by itself constitute financial, legal or tax advice.

8. Limitation of liability

To the maximum extent permitted by law, True North will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data, arising out of or related to use of the Portal. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Portal will not exceed the amounts you paid to True North for services in the twelve months before the claim arose.

9. Termination

We may suspend or terminate Portal access at any time for breach of this Agreement, for security reasons, or upon the end of a services engagement. Upon termination your license ends and your access ceases; our handling of your information continues to be governed by our Privacy Policy and any engagement agreement between us.

10. Changes

We may update this Agreement from time to time. Material changes will be reflected on this page with an updated date. Continued use of the Portal after changes take effect constitutes acceptance.

11. Governing law

This Agreement is governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. The state and federal courts located in Minnesota will have exclusive jurisdiction over disputes arising out of this Agreement.
